Zumi powered by Identifee, Inc. ("Identifee," "we," "us," or "our") provides customer relationship management (CRM), generative artificial intelligence (GenAI), and prospecting engine services ("Prospecting") to general businesses. These Terms and Conditions ("Terms") govern your access to, and use of, our Services. By using our Services, you agree to these Terms. We reserve the right to update  these Terms periodically.

Service Description and User Eligibility

Identifee offers cloud-based CRM, GenAI, and prospecting tools designed to optimize business  operations. These Services are available to registered businesses operating legally within their jurisdictions in the United States. To access the Services, businesses must:

  • Provide valid business identification in the form of tax ID during account registration.

  • Designate authorized users who comply with these Terms.

Account Management

Businesses must maintain accurate account information and promptly update changes (e.g.,  billing contacts, user access). Identifee may suspend accounts for incomplete verification or  violations of these Terms. Industry-standard security protocols, including multi-factor  authentication and role-based access controls, are enforced to protect account integrity.

Payment and Subscription Terms

Pricing Structure


  • Plans: Services are offered under tiered subscriptions, billed monthly.

  • Fees: Costs are calculated per user, per month.

  • Late Payments: Overdue balances past 5 days, accrue 2% monthly interest.

Services may be suspended after 30 days of non-payment.

Data Handling and Compliance

Data Ownership

Client data—including customer records, analytics, and prospecting insights—remains the  exclusive property of the client. Identifee acts solely as a data processor and will not use client data beyond service delivery purposes.

Security Protocols

All data is encrypted at rest and in transit. No audit rights are granted to clients.

SMS Services

These terms and conditions govern the use of SMS services provided by Identifee. By subscribing to the service, you agree to be bound by these terms and conditions.

  • To subscribe to the SMS service, the User must opt-in by providing their mobile number to Identifee.

  • The User acknowledges that message and data rates may apply. Identifee is not responsible for any charges incurred by the User.

  • The User acknowledges that they may receive up to 1-2  messages per week.

  • The User may opt-out of the SMS service at any time by replying "STOP" to any Message received.

  • Identifee will promptly stop sending Messages to the User upon receipt of the opt-out request.

Disclaimer of Liability

Identifee will not be liable for any loss, damage or inconvenience caused by the use of the SMS service. The User assumes all risks and responsibility for the use of the SMS service. By subscribing to the SMS service provided by [Company Name], the User agrees to be bound by these terms and conditions. If the User does not agree to these terms and conditions, they should not subscribe to the SMS service."

Liability and Dispute Resolution

Liability Cap

Identifee's total liability for claims arising from these Terms is limited to 12 months of service fees paid by the client. This cap excludes liability for gross negligence, willful misconduct, or statutory violations.

Dispute Resolution

Good Faith Negotiation Requirement: Before initiating any formal proceedings, both parties shall engage in good faith negotiations to resolve disputes arising from these Terms. Within 30 days of a written dispute notice, senior executives from Identifee and the client (with binding settlement authority) must convene to resolve the matter. Failure to resolve within 30 days permits escalation to mediation.


  • Mediation Process: If negotiation fails, parties shall submit the dispute to mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Rules. Mediation must commence within 30 days of negotiation termination. Costs are shared equally unless otherwise agreed.

  • Arbitration for Smaller Claims: Unresolved disputes shall proceed to binding arbitration under AAA’s Commercial Arbitration Rules. Key terms:

  • A single arbitrator appointed by mutual agreement or AAA.

  • Hearings conducted in New Castle, Delaware.

  • English is the procedural language.

  • Awards are final and enforceable in court.

Service Continuity

Identifee guarantees 99.5% monthly uptime for its Services. No service credits are issued for downtime; remedies are limited to termination rights (Section 7). Scheduled maintenance (e.g., weekly updates) or outages due to 3rd party services will not count toward uptime calculations. 

Termination and Refunds

Termination Rights

Either party may terminate these Terms with 30 days’ written notice. Identifee may suspend services immediately for breaches (e.g., payment defaults, misuse of Services, or any/all terms of the contract).

Refunds

Annual prepayments receive pro-rated refunds upon early termination, calculated from the termination date to the subscription period end. Refunds are processed within 30 days of termination.

Intellectual Property and Third-Party Services

Ownership

Identifee retains all rights to its software, trademarks, and platform infrastructure. Clients grant Identifee a non-exclusive license to process data solely for service delivery.

Third-Party Integrations

Linked services (third party systems) are governed by their respective terms. Identifee disclaims liability for third-party actions.
